1. Acceptance of Terms

By creating an account, accessing, or using Grain Lab ("Service", "Platform", "we", "us"), you agree to:

• Be at least 18 years old or have legal capacity to enter contracts
• Provide accurate and complete registration information

3.2 Account Termination

• Use the Service to compete with Grain Lab
• Upload data you don't own or have rights to
• Violate intellectual property rights

6. Intellectual Property

Grain Lab owns all rights to:

• Platform software, code, and algorithms
• User interface, design, and branding
• AI models and training methodologies
• Documentation and support materials

6.2 Your Data

You retain ownership of:

• Your uploaded fashion design data
• Collection information and sales data
• Customer insights and proprietary information

By uploading data, you grant us a license to:

• Process and analyze your data to provide the Service
• Generate insights and recommendations
• Store data securely on our servers

We do NOT: Use your data to train models for other customers or sell your data to third parties.

6.3 AI-Generated Content

Insights and recommendations generated by our AI are licensed to you for use in your business. You are responsible for verifying accuracy before relying on AI outputs.

7. Data Privacy and Security

Our use of your data is governed by our Privacy Policy, which is incorporated by reference into these Terms.

We implement industry-standard security measures, but cannot guarantee absolute security. You acknowledge the inherent risks of internet transmission.

8. Service Availability and Support

8.1 Uptime

• Target: 99.5% uptime (excluding scheduled maintenance)
• Maintenance: We may perform maintenance with advance notice
• Emergency Downtime: May occur without notice for security or critical issues

8.2 Support

9. Disclaimers and Limitations

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Merchantability and fitness for a particular purpose

9.2 AI Limitations

You acknowledge that:

• You are responsible for business decisions based on AI outputs
• Human review is recommended for critical decisions
• AI may produce errors, biases, or unexpected results

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, or consequential damages
• Total liability is limited to fees paid in the 12 months prior to the claim
• We are not liable for data loss (you must maintain backups)
• We are not liable for third-party actions or integrations

10. Indemnification

12. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

12.2 Arbitration

Disputes will be resolved through binding arbitration under the American Arbitration Association (AAA) rules, except:
